1. Acceptance of Terms

By accessing or using Chattycare's services, you agree to be bound by these Terms of Service. If you are using our services on behalf of a healthcare practice or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, please do not use our services.

2. Description of Service

Chattycare provides a HIPAA-compliant AI-powered chat widget service designed for healthcare practices. Our service includes:

  • AI chat widget for patient inquiries and appointment scheduling
  • 24/7 automated patient engagement
  • Integration with healthcare practice workflows
  • Analytics and reporting dashboard
  • HIPAA-compliant data handling and storage

3. Account Requirements

To use our services, you must:

  • Be a licensed healthcare practice or authorized representative
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years of age

4. Healthcare Compliance

As a healthcare-focused service, both parties acknowledge and agree:

  • Chattycare will execute a Business Associate Agreement (BAA) with covered entities
  • Customer is responsible for ensuring their use of the service complies with applicable healthcare regulations
  • The AI widget is not a substitute for professional medical advice, diagnosis, or treatment
  • Customer must configure the widget appropriately for their specific compliance requirements

5. Fees and Payment

Our pricing consists of:

  • One-time setup fee for custom configuration and training
  • Monthly subscription fee for ongoing service

Fees are billed in advance on a monthly basis. All fees are non-refundable except as expressly set forth herein. We reserve the right to modify pricing with 30 days' notice.

6. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Upload malicious code or content
  • Use the service to send spam or unsolicited communications
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the service without authorization

7. Intellectual Property

Chattycare retains all rights to its service, technology, and branding. You retain ownership of your data and content. You grant us a limited license to use your data solely to provide the service.

Any feedback or suggestions you provide may be used by Chattycare without obligation.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATTYCARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately for violation of these terms.

Upon termination, you may request export of your data within 30 days. After this period, we may delete your data in accordance with our retention policies.

11. Governing Law

These terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
